PassMark Software has new ownership. This page explains what has changed, what hasn't, and the practical implications for customers, resellers, and partners.

Overview

PassMark Software has been acquired by Jackson Allan, together with a group of private investors. Founder David Wren remains a shareholder in PassMark and will support the transition of ownership and technical leadership through the first year and beyond.


Product and Support

Will my existing licence keys keep working?

  • Yes. Existing licence keys continue to be valid. No action is required from customers to continue using PassMark software.

Will I continue to receive updates and support under my existing licence?

  • Yes. Updates, maintenance, and support continue under the same terms.

How do I contact support?

  • Support contact details, response times, and the team behind them are unchanged. The same email addresses, phone numbers, and support portal continue to operate.


Payment Details

Have banking details changed?

  • Yes. Banking details have changed for both Australian and US operations. Customers paying by bank transfer, wire, or any method other than credit card will receive updated remit-to details directly from PassMark.

    Important: PassMark will only notify customers of banking detail changes through official correspondence on PassMark letterhead, signed by a named PassMark representative. If you receive an email or other communication claiming to update PassMark's banking details that you cannot verify, please contact sales@passmark.com or call PassMark on +61 2 9281 7093 (Australia) or +1 650 216 2306 (United States) before making any payment.

Has the legal entity I deal with changed?

  • Yes. As part of the transaction, PassMark's operations have moved to new legal entities in Australia and the United States. Customers, resellers, and partners with active commercial arrangements will receive updated entity details (including ABN, EIN, and remit-to banking details) directly from PassMark on official letterhead.

    Future invoices, purchase orders, and payments will reference the new entity. The PassMark brand, products, team, and contact details are unchanged.

Partners and Resellers

What about NDAs and other agreements with PassMark?

  • As part of the asset sale, contracts and agreements relating to the PassMark business are being transitioned to the new operating entity. Most contracts pass to the new entity as part of the transaction. Some agreements - including NDAs, certain reseller agreements, and bespoke commercial agreements - may require counterparty consent to assign, or may need to be re-executed with the new entity.

    PassMark will be in direct contact with affected customers and partners about any agreements that require consent or re-execution. If you have an existing NDA, site licence, OEM, reseller, or other bilateral agreement with PassMark and have a question about its status, please contact sales@passmark.com

Are existing reseller and distributor agreements continuing?

  • Yes. Existing reseller and distributor relationships continue under the new ownership. Some agreements may need to be re-executed with the new operating entity - PassMark will be in direct contact with each reseller and distributor about the practical steps and timing.

Are commercial terms changing?

  • No commercial terms are changing as part of the transition. Pricing, discount structures, and margin arrangements continue as before.

Who is my primary contact?

  • Day-to-day commercial, technical and operational contacts within PassMark are unchanged.
